Terms of Service

1. Acceptance of Terms

By accessing or using ChrisList, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and ChrisList. Your continued use of the Service following any updates to these Terms constitutes acceptance of the revised Terms.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years of age to create an account or use ChrisList. By using the Service, you represent and warrant that you are 18 years of age or older.

2.2 Legal Capacity

You must have the legal capacity to enter into a binding contract. If you are using ChrisList on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2.3 Not Previously Removed

You may not use ChrisList if you have previously been removed or banned from the platform for violating these Terms.

3. User Accounts

3.1 Account Creation

To access most features of ChrisList, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

3.3 One Account Per Person

Each user may maintain only one active account. Creating multiple accounts to circumvent bans, restrictions, or for fraudulent purposes is prohibited.

3.4 Account Accuracy

Your profile information, including your location (zip code), must be reasonably accurate. Misrepresenting your location to circumvent local marketplace rules is prohibited.

4. The ChrisList Marketplace

4.1 Peer-to-Peer Platform

ChrisList is a peer-to-peer marketplace that connects buyers and sellers in the Louisville, Kentucky area and surrounding communities. We facilitate connections between users but are not a party to any transaction between them.

4.2 No Guarantee of Sale or Purchase

ChrisList does not guarantee that any listing will result in a sale, that a buyer will follow through on a purchase, or that any item described in a listing is as described. All transactions are between buyers and sellers directly.

4.3 ChrisList Is Not a Retailer

We do not buy, sell, or take possession of any items listed on the platform. We are a venue, not a retailer or auctioneer.

5. Listing Rules

5.1 Accurate Descriptions

All listings must accurately describe the item or service being offered. You must disclose any known defects, damage, or material conditions that affect the item's value or usability.

5.2 What You Can Sell

You may list physical goods and certain services that are legal to buy and sell in Kentucky and the United States. Examples include furniture, electronics, clothing, vehicles, tools, collectibles, and similar items.

5.3 Prohibited Items and Content

The following items and listings are strictly prohibited on ChrisList:

• Illegal items: Drugs, controlled substances, stolen goods, counterfeit products, or any item whose sale is prohibited by law
• Weapons: Firearms, ammunition, explosives, and regulated weapons
• Adult content: Pornographic or sexually explicit material
• Live animals
• Hazardous materials: Items that pose a safety risk in storage or transport
• Recalled items: Products subject to a safety recall
• Human remains or body parts
• Personal data: Lists of personal information, credentials, or accounts
• Pirated or unlicensed digital content
• Items you do not own or have no right to sell
• Misleading or fraudulent listings of any kind

We reserve the right to remove any listing at our sole discretion, with or without notice.

5.4 Listing Accuracy and Freshness

Listings should reflect items that are currently available. You are responsible for removing or marking as sold any items that are no longer available.

5.5 Auctions

Auction listings are subject to these Terms as well as any additional rules presented at the time of listing. Winning bids constitute a binding commitment to purchase.

5.6 Community Events

Events posted on ChrisList must be real, local, and lawful. You may not post events designed to mislead, defraud, or harm other users.

5.7 Local Deals

Featured "Local Deals" must be genuine. Misrepresenting the original price or discount is prohibited.

6. Transactions and Payments

6.1 Payment Processing

ChrisList uses Stripe, Inc. to process payments. By making or receiving payments through the Service, you agree to Stripe's Terms of Service and Privacy Policy. ChrisList does not store your full payment card information.

6.2 Platform Fee

ChrisList may charge a platform fee on transactions processed through the Service. Any applicable fees will be disclosed clearly before you complete a transaction.

6.3 In-Person Transactions

ChrisList assumes no liability for transactions conducted outside the platform's payment system. We strongly encourage users to meet in safe, public locations for in-person exchanges.

6.4 No Chargeback Abuse

Initiating a chargeback without first attempting to resolve the issue through ChrisList's dispute process is prohibited and may result in account suspension.

6.5 Taxes

You are solely responsible for determining and paying any taxes applicable to your transactions. ChrisList does not provide tax advice.

6.6 Refunds

All sales are subject to the seller's stated return policy. ChrisList does not guarantee refunds. In cases of fraud or item significantly not as described, ChrisList may intervene at its discretion but makes no guarantee of a specific outcome.

7. Messaging and Communications

7.1 Platform Messaging

ChrisList provides in-app messaging to facilitate communication between buyers and sellers. You agree to use this feature only for legitimate transactional purposes related to listings.

7.2 Prohibited Messaging Conduct

You may not use the messaging system to:

• Spam or send unsolicited commercial messages
• Harass, threaten, or abuse other users
• Solicit users to move transactions off-platform to avoid fees or protections
• Conduct phishing, scams, or fraud

7.3 Message Retention

Messages may be retained as described in our Privacy Policy. Do not use the messaging system to transmit sensitive personal or financial information.

8. Prohibited Conduct

In addition to the specific prohibitions listed above, you agree not to:

• Fraud and scams: Deceive other users about the nature, condition, availability, or price of items
• Impersonation: Impersonate any person, business, or entity
• Harassment and abuse: Harass, threaten, bully, stalk, or abuse any other user
• Spam: Send repetitive, unsolicited, or irrelevant messages or listings
• Manipulation: Manipulate prices, ratings, reviews, or search results through artificial means
• Scraping: Use automated tools to scrape or collect data from ChrisList without written permission
• Circumvention: Attempt to bypass any security measures or platform rules
• Illegal conduct: Use the platform to facilitate any activity that violates applicable law

9. User Content and Intellectual Property

9.1 Your Content

You retain ownership of any content you post on ChrisList ("User Content"). By posting User Content, you grant ChrisList a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and modify your User Content for the purpose of operating, promoting, and improving the Service.

9.2 Content Standards

You represent and warrant that your User Content: (a) is owned by you or you have the right to post it; (b) does not infringe the rights of any third party; (c) is not false or misleading; and (d) complies with these Terms.

9.3 ChrisList Intellectual Property

All content, features, and functionality of the ChrisList platform — including our name, logo, website design, software, and compiled data — are the property of ChrisList or its licensors. You may not copy, reproduce, or create derivative works from our proprietary content without written permission.

9.4 Feedback

If you provide suggestions or feedback about the Service, you grant us the right to use them without any obligation or compensation to you.

10. Dispute Resolution Between Users

10.1 User-to-User Disputes

Disputes between buyers and sellers are primarily the responsibility of the parties involved. ChrisList encourages users to communicate directly to resolve disagreements.

10.2 ChrisList Assistance

ChrisList may, at its sole discretion, offer assistance or mediation in disputes involving transactions conducted through our payment system. We make no guarantee of any specific outcome.

10.3 Disputes with ChrisList

Any dispute, claim, or controversy arising from these Terms or your use of the Service shall be governed by the laws of the Commonwealth of Kentucky. Any legal action shall be brought exclusively in the state or federal courts located in Jefferson County, Kentucky.

10.4 Informal Resolution First

Before initiating any formal legal proceeding, you agree to first contact us at [email protected] with a written description of your dispute. We will attempt to resolve the matter informally within 30 days.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CHRISLIST DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CHRISLIST MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) LISTINGS ARE ACCURATE OR RELIABLE; (C) ANY TRANSACTION WILL BE COMPLETED SUCCESSFULLY; OR (D) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

ChrisList integrates with third-party services including Stripe, Clerk, and Cloudflare. We are not responsible for the availability, accuracy, or conduct of these third-party services.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHRISLIST AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, ANY TRANSACTION BETWEEN USERS, OR ANY CONTENT POSTED ON THE PLATFORM.

IN NO EVENT SHALL CHRISLIST'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CHRISLIST IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless ChrisList and its operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; (d) your interactions with other users; or (e) any transaction you enter into through the platform.

14. Termination

14.1 Termination by You

You may close your account at any time by contacting us at [email protected] or through your account settings. Please refer to our Privacy Policy for information on data retention.

14.2 Termination by ChrisList

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent or harmful conduct.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive — including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any disputes not resolved informally shall be brought in the state or federal courts of Jefferson County, Kentucky.

17. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChrisList regarding your use of the Service. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect. Our failure to enforce any right will not be considered a waiver of those rights. You may not assign your rights under these Terms without our prior written consent.
